Terms of Service — Opine, Inc.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2. Accounts & Registration

• You may need an account to access certain features. You agree to provide accurate and complete information during registration and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Acceptable Use

You agree not to:

• Violate any applicable federal, state (including Colorado), or local laws.
• Upload unlawful, defamatory, obscene, or infringing content.
• Use the Services to harass, impersonate, or harm others.
• Attempt to gain unauthorized access to the Services, our systems, or data.
• Reverse engineer or exploit the Services for unauthorized purposes.

4. User Content & Ownership

• You retain ownership of the content, data, or materials you submit (“User Content”).
• By submitting User Content, you grant Opine a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, display, reproduce, and adapt it as necessary to operate and improve the Services.
• You are solely responsible for your User Content and represent that you have all rights to provide it.

4A. Athlete & User Story Rights

• You own your story. All personal stories, voice inputs, brand briefs, and other content you provide through Opine remain your intellectual property (“User Story Content”).
• Our limited license to operate. By submitting User Story Content, you grant Opine a limited, non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, process, reproduce, adapt, and distribute that content only as necessary to:
  • Provide and improve the Services;
  • Generate content outputs requested by you;
  • Facilitate delivery to your approved organizations, sponsors, or distribution channels;
  • Ensure system functionality and security.
• No resale or exploitation. Opine will never sell, license, or exploit your User Story Content to third parties for unrelated purposes without your explicit written consent.
• Your right to withdraw. You may request deletion of your User Story Content at any time by contacting us at [contact email]. We will make reasonable efforts to delete it from active systems, except as required by law or for backup/security purposes.
• Feedback and improvements. If you provide feedback or suggestions about the Services, you grant us the right to use that input without restriction or compensation to you.

5. Intellectual Property

All intellectual property in the Services (software, branding, designs, etc.) belongs to Opine or its licensors. You may not copy, modify, distribute, or create derivative works except as permitted under these Terms.

6. Fees & Payments

• Some Services may require payment. Fees will be disclosed before purchase.
• Payments are due in advance unless otherwise agreed in writing.
• All sales are final except as required by law.

7. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted under Colorado and U.S. law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law:

• Opine will not be liable for indirect, incidental, special, or consequential damages.
• Our total liability to you for any claim will not exceed the greater of (i) $100 or (ii) the amount paid by you for the Services in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Opine and its officers, employees, and affiliates against any claims, damages, or expenses arising from:

• Your violation of these Terms;
• Your User Content;
• Your misuse of the Services.

10. Termination

We may suspend or terminate your access at any time, with or without notice, for violation of these Terms or for any other reason. Sections relating to intellectual property, limitation of liability, indemnification, and governing law will survive termination.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of state and federal courts located in Denver, Colorado for any disputes.

12. Modifications

We may update these Terms at any time. The “Last Updated” date will reflect changes. Your continued use of the Services after posting changes constitutes acceptance.
